OSHTECH Incorporated will conduct work with the degree of professionalism, care and skill ordinarily expected under similar circumstances, in accordance with the spirit and intent of the agreement to provide services. Intellectual property detailed in a proposal, quote or report describing, but not limited to, our approach, pricing, information about the work, findings, and the opinions expressed in our report are prepared solely for the benefit of the Client and the specific circumstances for which such services are commissioned. It is understood that this information, the final report, any portion or copy thereof, shall not be distributed or reproduced by the Client without expressed written permission from OSHTECH, except to make such copies of the information as are reasonably needed for internal uses only and for the specific purposes so intended. The Client will not disclose, use, or appropriate intellectual information/tools/ideas, which may cause possible detriment to OSHTECH Incorporated before, during and/or after the delivery of services, nor will the Client participate directly or indirectly in conveying such information/tools/ideas for use by third parties.

The findings of our work are based on situations existing at the time services are rendered, which may not prevail thereafter, and should not be relied upon for any other purposes not so intended. Our approach and opinions may be subject to limitations imposed upon the scope of work as specified by the Client, or pertaining to the accuracy or amount of information provided by the Client, or representatives thereof. A third party should not rely upon our information without consulting OSHTECH to determine whether this might alter the approach, perspective or findings, and in any event, reliance on or decisions made, based on our findings, are the sole responsibility of such third parties.

The services provided by OSHTECH for environmental and occupational risks identification, assessment, documentation and/or monitoring seek to reduce the uncertainty about the potential hazards and liabilities. There is a balance between the costs of these services and the reduction of uncertainty about unknown conditions, and as such it is understood by the Client that failure to identify environmental conditions and risks in connection with undertaking of services by OSHTECH may not constitute a failure to perform appropriate inquiry. Any errors or omissions of information provided by the Client may affect the opinions and conclusions arising from such undertakings. Furthermore, if the Client is aware of any specialized knowledge or experience that is material to the issue at hand, it is the Client's responsibility to communicate such information to OSHTECH.

OSHTECH accepts no responsibility for damages suffered by any third party as a result of decisions made, or actions based, on services provided to the Client, unless specifically advised and agreed to before undertaking services. No other warranty, expressed or implied, is made. The Client agrees to hold harmless, indemnify and defend OSHTECH, its officers, agents and employees against any and all claims, losses, damages, demands, disputes, liability, legal and/or investigative costs which might precipitate from the undertaking of services, except for fault or neglect by OSHTECH.
